Host Property AB (publ) initiates a written procedure to request amendments and waiver in respect of the terms and conditions of its listed bonds

Host Property AB (publ) (the "Company") has instructed Nordic Trustee & Agency AB (publ) (the "Agent") to initiate a procedure in writing (the "Written Procedure") to request the bondholders' approval for amendments of the terms and conditions (the "Terms and Conditions") of the Company's outstanding SEK 500,000,000 senior secured and guaranteed floating rate bonds (ISIN: SE0013486057) and that the previous alleged Events of Default are waived. Any capitalised term used but not defined herein shall have the meaning given to it in the Terms and Conditions.

The alleged Events of Default under the Terms and Conditions is subject to the waiver set out in the standstill agreement entered into between the Company and certain Bondholders representing approximately 62.20 per cent. of the Total Nominal Amount (the "Major Bondholders") as announced in the press release published by the Company on 19 January 2021. The waiver is in force during a standstill period lasting until the earlier of 26 March 2021 or the date the proposed amendments are approved by the Bondholders in the Written Procedure.

The Major Bondholders have agreed on and undertaken to, inter alia, vote in favour of the waiver and the amendments to the Terms and Conditions. The proposed amendments include, amongst other things, adjustments of the financial covenants and additional security. Please refer to the notice for written procedure dated 9 February 2021 (the "Notice") for a more detailed description of the proposed waiver and amendments.

The Notice is held available by the Agent on its web page, www.nordictrustee.com and is attached to this announcement. The Written Procedure is conducted in accordance with Clause 21 (Written Procedure) of the Terms and Conditions. The Company has appointed Nordea Bank Abp to act as financial advisor in relation to the Written Procedure.

Important information regarding the consent fee:

If the proposed amendments and waiver are approved by the Bondholders, a consent fee amounting to one (1.00) per cent. of the Nominal Amount as of the date of the approval will be paid to the Bondholders (regardless if such Bondholder has participated in the Written Procedure or voted for or against the proposal).
