New issue
Cibus Nordic Real Estate AB (publ) ("Cibus" or the "Company") has successfully issued senior unsecured notes in the total amount of SEK 700 million under the Issuer's MTN programme (the "New Senior Unsecured Notes"). The New Senior Unsecured Notes have a tenor of 3 years and a floating interest rate of STIBOR three months plus 595 bps and will mature on 2 September 2025. Cibus intends to apply for listing of the New Senior Unsecured Notes on the sustainable corporate bond list of Nasdaq Stockholm.

Tender offer
Cibus will announce the results of the tender offer (the "Tender Offer") to the holders of Cibus outstanding senior unsecured floating rate notes 2020/2023 with ISIN SE0014453130 and outstanding amount of SEK 600 million (the "Notes"). The Tender Offer expired at 12:00 CEST on 26 August 2022. The Company will issue a separate press release relating to the total nominal amount accepted in the Tender Offer. Cibus intends to complete the Tender Offer and the price for the Notes in the Tender Offer amounts to 101.85% of the nominal amount. Cibus will also pay accrued and unpaid interest on the Notes on the settlement date in accordance with the terms and conditions of the Notes. The settlement date for the Tender Offer is expected to occur on or around 2 September 2022.

Early redemption
Cibus also announces its intention to exercise its right to make an early redemption of the Notes not being tendered in the Tender Offer, in accordance with Clause 9.3 (Voluntary total redemption (call option)) of the terms and conditions of the Notes. The redemption date will be 21 September 2022 and the redemption amount for each Note shall be the applicable call option amount (being 101.58 per cent. of the nominal amount of the Notes), plus accrued but unpaid interest. The redemption amount will be paid to the holders holding Notes on the relevant record date (being 14 September 2022).

Cibus obligation to redeem the Notes on the redemption date is conditional upon disbursement of the net proceeds from the New Senior Unsecured Bonds. 

Subject to the above, the Notes will be de-listed from the corporate bond list of Nasdaq Stockholm in connection with the redemption date and the last day of trade will occur on or about 13 September 2022.

Den 22 november 2022 meddelade Cibus Nordic Real Estate AB (publ) ("Cibus" eller "Bolaget") att resultatet av återköpserbjudandet ("Återköpserbjudandet") skulle meddelas separat till innehavarna av Cibus utestående seniora icke säkerställda obligationer med rörlig ränta 2020/2023, ISIN SE0014479366 och med utestående volym om EUR 135 miljoner ("Obligationerna"). Återköpserbjudandet löpte ut kl. 12:00 (CET) den 23 November 2022 och gjordes i enlighet med villkoren beskrivna i återköpsdokumentet daterat 21 november 2022 ("Återköpserbjudandet"). Bolaget har mottagit Prioriterade Återköp (eng. "Priority Tender")(som definierat i Återköpsdokumentet) om ett totalt belopp om EUR 46,9 miljoner. On 22 November 2022 Cibus Nordic Real Estate AB (publ) ("Cibus" or the "Company") announced that the results from the tender offer (the "Tender Offer") to the holders of Cibus' outstanding senior unsecured floating rate notes 2020/2023 with ISIN SE0014479366 and outstanding amount of EUR 135 million (the "Notes") would be announced separately. The Tender Offer expired at 12:00 CET on 23 November 2022 and was made subject to the terms and conditions described in the tender information document dated 21 November 2022 ("Tender Information Document"). The Company has received Priority Tenders (as defined in the Tender Information Document) in a total nominal amount of EUR 46.9 million. Cibus intends to accept all Priority Tenders received. Tender instructions which are not Priority Tenders will not be accepted.

Cibus Nordic Real Estate AB (publ) ("Cibus" or the "Company") has mandated Nordea Bank Abp and OP Corporate Bank plc as joint bookrunners to arrange fixed income investor meetings starting November 21, 2022. The purpose is to investigate the possibility to issue EUR denominated senior unsecured notes with a tenor of 3 years (the "New Senior Unsecured Notes") under Cibus' existing medium term note programme. A capital markets transaction will follow subject to market conditions.

  • Driftnettot uppgick till 26 157 TEUR (19 269).
  • Förvaltningsresultatet uppgick till 14 653 TEUR (12 537). Förvaltningsresultatet exklusive kostnader av engångskaraktär samt valutakurseffekt uppgick till 16 475 TEUR.
  • Periodens resultat uppgick till 24 204 TEUR (12 082) vilket motsvarar 0,49 EUR (0,29) per aktie.
  • Orealiserade värdeförändringar på fastigheter ingår i resultatet och uppgick till 8 945 TEUR (1 824).

  • Hyresintäkter uppgick till 78 452 TEUR (59 473).
  • Driftnettot uppgick till 73 115 TEUR (55 952).

  • Rental income amounted to EUR 27,794 thousand (20,245).
  • Net operating income totalled EUR 26,157 thousand (19,269).
  • Profit from property management was EUR 14,653 thousand (12,537). Profit from property management, excluding non-recurring costs and exchange rate effects, amounted to EUR 16,475 thousand.
  • Earnings after tax amounted to EUR 24,204 thousand (12,082), corresponding to EUR 0.49 (0.29) per share.
