Beijing Topraise Medical Science & Technology Co. and Beijing WIN-SUM Investment Co. announces continued interest in Vigmed Holding AB (publ)This press release is not a public offering to acquire shares in Vigmed and the Investors are not considering making a public offering to acquire shares in Vigmed.
Beijing Topraise Medical Science & Technology Co., Ltd., ("Topraise") and Beijing WIN-SUM Investment Co., Ltd. ("Win-Sum", jointly the "Investors") announce its continued interest in Vigmed. The Investors have on 5 April 2017 made an investment offer (the "Offer") to invest in Vigmed Holding AB (publ) ("Vigmed") and on 10 April 2017 announced its continued interest in Vigmed after the conditions for the Offer was turned down by the bid committee of Vigmed. The bid committee of Vigmed argued, inter alia, that even if a capital contribution was made to Vigmed further capital injections may be required. Subsequent to the Investors' latest release, the share price of Vigmed has increased and Greiner Bio-One GmbH ("GBO") has on 13 April 2017 increased the price offered in its public offer for all shares in Vigmed. In light of the above, the Investors make the following announcement.
The Investors interest to invest in Vigmed remains. This interest persists even though the share price of Vigmed has increased - which presumably would raise the subscription price for the Investors if they are allowed to invest in Vigmed. The interest also persists despite the possible future need for further capital injections to Vigmed, for which the Investors may have to provide. The Investors thus awaits the outcome of the GBO public offer, and, should it not be completed, are prepared to, without making any commitments, initiate discussions with Vigmed based on the aforementioned.
